1. Scope
These General Terms and Conditions apply to all services provided by spotcargohub GmbH, Am Alten Galgen 19a, 56410 Montabaur (“spotcargohub”) to its users (“customers”) in connection with the operation of the online platform spotcargohub.com.
The platform is intended exclusively for companies within the meaning of § 14 BGB (B2B). Use by private customers (§ 13 BGB) is excluded.
Deviating or supplementary terms and conditions of the customer shall not apply, even if spotcargohub does not expressly object to them.
2. Description of services
(1) spotcargohub operates an online platform that enables industrial and commercial enterprises (“shippers”) as well as freight forwarders and carriers (“transport service providers”) to exchange transport requests and transport offers digitally and to place orders.
(2) spotcargohub only provides the technical infrastructure for these interactions. spotcargohub is neither a contractual partner in the transport contracts concluded via the platform nor does it act as a representative or intermediary.
(3) The scope of services, available function modules, prices, and contract terms are described on the website and in the user account.
3. Registration and use
(1) Registration takes place online at https://spotcargohub.com.
(2) Only legal entities, partnerships, or sole proprietors may register. Private individuals are excluded.
(3) Upon completion of registration, a user agreement is concluded between the customer and spotcargohub.
(4) spotcargohub reserves the right to reject registrations without giving reasons.
(5) A separate account (“hub”) can be created for each company location.
4. Contractual relationship between users
(1) Contracts for transport services are concluded exclusively between the respective users (shipper/freight forwarder).
(2) The legal basis for these contracts is governed by the relevant national transport law of the parties involved (e.g., HGB, CMR, sea freight or air freight law).
(3) spotcargohub is not obliged to mediate in disputes between users or to enforce claims.
5. Fees, Term, and Termination
(1) spotcargohub offers both free and paid modules.
(2) Prices and contract terms are published in the user area or on the website.
(3) Paid modules may only be booked and terminated in the user account by users with administrative rights.
(4) spotcargohub invoices the customer for the usage fees monthly in advance. Unless otherwise agreed, invoices are sent in PDF format by email to the billing address provided by the customer. (5) Unless otherwise agreed, invoices are due within 10 days of the invoice date.
(6) In the event of premature termination or deactivation of a paid module, no pro-rata refunds will be made.
(7) If payment is more than four weeks overdue, spotcargohub may block the customer's access to the platform.
(8) Terminations of payable modules must be made in writing (email is sufficient).
6. User obligations
(1) The customer undertakes to use the platform with the diligence of a prudent businessman and to refrain from any action that could impair its security or functionality.
(2) The customer is responsible for keeping their access data confidential. Disclosure to third parties is not permitted.
(3) The customer must ensure that the content they post does not infringe the rights of third parties and does not violate applicable law.
(4) Changes to relevant company data must be updated immediately in the user profile or reported to spotcargohub (email to support@spotcargohub.com).
(5) In the event of imminent or known misuse of access data, spotcargohub must be informed immediately (support@spotcargohub.com).
7. Technical availability
(1) spotcargohub shall endeavor to ensure that the platform is available without interruption as far as possible.
(2) Planned maintenance work shall be announced in good time, as far as possible.
(3) Short-term restrictions due to technical faults, maintenance, updates, or force majeure shall not give rise to any claims for damages or price reductions.
8. Liability
(1) spotcargohub shall only be liable without limitation within the scope of the statutory provisions in cases of intent, gross negligence, or injury to life, limb, or health. (2) In the event of a slightly negligent breach of essential contractual obligations (“cardinal obligations”), liability shall be limited to the foreseeable damage typical for this type of contract.
(3) Any further liability—in particular for indirect or consequential damages, lost profits, or data loss—is excluded.
(4) The above limitations of liability also apply in favor of the legal representatives and vicarious agents of spotcargohub.
9. Data protection
(1) spotcargohub processes personal data exclusively within the framework of the legal provisions of the GDPR and the BDSG.
(2) Details on the processing of personal data can be found in the privacy policy at https://spotcargohub.com/privacy.
(3) For customers whose personal data is processed on behalf of the customer, a contract for order processing is concluded in accordance with Art. 28 GDPR.
(4) The servers are operated by DigitalOcean (data centers in Frankfurt am Main and Amsterdam).
(5) Mailjet (France, EU) is used as the email service provider.
(6) Daily data backups are performed.
10. Copyrights and intellectual property
(1) All rights to the platform, software modules, designs, texts, graphics, and other content remain with spotcargohub.
(2) Reproduction, editing, or disclosure to third parties is not permitted without express consent.
(3) The use of interfaces (APIs) or data exports is only permitted within the scope of the intended functions.
11. Blocking and exclusion
spotcargohub may block users with immediate effect or exclude them permanently in the event of serious or repeated breaches of contract, in particular in the event of late payment, misuse, or violation of laws.
12. Changes to services
spotcargohub is entitled to further develop, supplement, or change functions or modules of the platform for technical reasons, provided that this does not significantly impair the purpose of the contract.
13. Prohibited content and legal regulations
(1) No requests or offers may be published that violate legal regulations, in particular no prohibited goods or services.
(2) Users are obliged to comply independently with all legal regulations relevant to transport (e.g., dangerous goods, export regulations, customs, tax obligations).
14. Confidentiality
Both parties undertake not to disclose confidential information that becomes known in connection with the use of the platform to third parties. This shall also apply after the end of the contract.
15. Final provisions
(1) Amendments and additions to this contract must be made in writing (email is sufficient).
(2) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(3) The place of jurisdiction is Montabaur (Germany), as far as legally permissible.
(4) Should individual provisions of these General Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.
